Terms of Service

These Terms of Service (“Terms”) govern your use of the Savant service and website operated by AlphaWhiskey Software LLC (“we,” “us,” or “our”). By accessing or using Savant, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Service Description

Savant is a managed digital executive assistant service. We provide:

• A dedicated, security-hardened virtual machine running an AI agent configured as your executive assistant.
• Connectivity to messaging platforms (WhatsApp, iMessage, Telegram, Discord) so you can interact with your assistant via text.
• Managed infrastructure, including hosting, AI subscriptions (Anthropic Claude), and networking (Tailscale).
• Ongoing maintenance, security updates, and support.

Savant is powered by AI and, while capable, may occasionally produce incorrect or incomplete results. You are responsible for reviewing and confirming the accuracy of any information or actions taken by your assistant.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Savant. If you are using Savant on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account & Access

• You are responsible for maintaining the security of your messaging accounts and any credentials associated with your Savant service.
• You must notify us immediately if you suspect unauthorized access to your Savant instance.
• You are responsible for all activity that occurs through your Savant assistant, including messages sent and actions taken on your behalf.

4. Subscription & Billing

• First Agent: $499 per month. Includes a dedicated hardened VM, managed AI subscription, Tailscale networking, messaging channel connections, and priority support.
• Additional Agents: $399 per month each. Each additional agent receives its own dedicated VM and full feature set.
• Enterprise: Custom pricing for on-premises deployment, custom cloud hosting, SLA guarantees, and dedicated support. Contact us for details.
• Subscriptions are billed monthly in advance. All fees are in US dollars and are non-refundable except as required by law.
• We reserve the right to change pricing with 30 days written notice. Price changes will take effect at the start of your next billing cycle.
• There are no setup fees. Your digital assistant will be provisioned within one business day of payment.

5. Cancellation & Termination

• You may cancel your subscription at any time with 30 days written notice. Your service will continue until the end of the notice period.
• Upon cancellation, we will assist you in exporting any data you need from your dedicated VM.
• After the cancellation period, your VM will be securely wiped and decommissioned. All customer data will be permanently deleted within 30 days.
• We may suspend or terminate your account if you violate these Terms, fail to pay, or engage in prohibited uses. We will provide reasonable notice except in cases of egregious violations.

6. Acceptable Use

You agree to use Savant in compliance with all applicable laws and regulations. You may not use Savant to:

• Engage in any activity that is illegal, fraudulent, or harmful.
• Send spam, unsolicited messages, or engage in automated messaging that violates platform terms.
• Attempt to circumvent security measures, access other customers' data, or interfere with our infrastructure.
• Use the service to generate content that is hateful, harassing, or violates the rights of others.
• Reverse-engineer, decompile, or attempt to extract the source code of our proprietary systems (note: the OpenClaw gateway is open source under the MIT license).
• Resell or redistribute the service without our written consent.

7. Data Ownership

• Your data is yours. You retain all rights, title, and interest in your data, including messages, documents, calendar data, and any other content processed by your digital assistant.
• You grant us a limited, non-exclusive license to process your data solely for the purpose of providing and maintaining the Savant service.
• We do not use your data for advertising, analytics, AI model training, or any purpose other than delivering the service to you.
• You can request export of your data at any time. We will provide it in a machine-readable format within 10 business days.

8. Service Availability

• We strive to maintain high availability for your Savant instance. Our target uptime is 99.9% measured monthly.
• Scheduled maintenance will be performed during off-peak hours with advance notice when possible. We use zero-downtime deployment practices.
• We are not responsible for downtime caused by third-party messaging platforms (WhatsApp, iMessage, Telegram, Discord), internet outages, or force majeure events.
• Enterprise customers may negotiate custom SLA terms with specific uptime guarantees and credit provisions.

9. AI Limitations & Disclaimer

Savant is an AI-powered service and has inherent limitations:

• AI responses may occasionally be incorrect, incomplete, or inappropriate. You should verify important information before acting on it.
• Savant should not be used as a sole decision-maker for legal, medical, financial, or other critical matters.
• The AI's capabilities are bounded by the underlying model (currently Anthropic Claude) and may change as we update to newer versions.
• We continuously improve the service but do not guarantee specific accuracy rates or outcomes.

10. Intellectual Property

• The Savant brand, website, documentation, and proprietary management systems are owned by AlphaWhiskey Software LLC.
• Savant is built on OpenClaw, which is open-source software licensed under the MIT License. The OpenClaw license terms apply to that component.
• You may not use our trademarks, logos, or branding without written permission.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• IN NO EVENT SHALL ALPHAWHISKEY SOFTWARE LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF THE CAUSE OF ACTION.
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless AlphaWhiskey Software LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Governing Law & Disputes

• These Terms are governed by the laws of the United States and the State in which AlphaWhiskey Software LLC is incorporated, without regard to conflict of law principles.
• Any disputes arising from these Terms or the service will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.
• You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to active subscribers at least 30 days before they take effect. The updated Terms will be posted on this page with a revised “Last updated” date. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AlphaWhiskey Software LLC regarding the Savant service. They supersede all prior agreements, understandings, and communications, whether written or oral.
